Commercial Real Estate


  • We advise purchasers, sellers and lenders in commercial real estate, including contract negotiation, purchase and sale agreements, option contracts, construction contracts, mortgages and loan documents, motions for relief from bankruptcy stay, prosecuting and defending confirmation and mortgage deficiency actions, tax appeals, environmental investigation, title, title clearance and closings. We counsel clients who are involved in transactions in a wide variety of commercial real estate, including shopping centers and retail, apartment complexes, office buildings, hotel/motel, warehouses, transportation, restaurants and cafeterias, gasoline and convenience stations, travel agencies, automobile repair, dry cleaners, pharmacies, and other businesses.

  • Our Corporate Law section advises individuals in starting new businesses and restructuring existing ones and selecting the business structure which best fits their needs, such as limited liability companies, corporations, joint ventures, general partnerships, limited partnerships, and sole proprietorships. Our representation includes formulation entities, operating agreements, buy-sell agreements, management agreements, employment and independent contractor agreements, and other company agreements.

  • Business litigation and trial practice includes disputes among and within business entities, contract disputes, personal guaranty litigation, commercial real estate litigation, agricultural (PACA) law, complex litigation, commercial landlord-tenant matters, intellectual property litigation, probate, fiduciary and estates and trusts litigation, surface water, trespass, property line and boundary disputes, and other litigation matters concerning commercial real estate, businesses and estates.  Our practice also includes resolving disputes in mediation and arbitration.
